BT WebMedia – Digital Contract

Authorization
The named client is engaging BT WebMedia, located at P.O. Box 1492, Winchester, VA 22604, as an independent contractor for the specific purpose of technology services (developing business websites, computer technology training and technology consulting).

Copyrights and Trademarks
The Client represents to BT WebMedia and unconditionally guarantees that any elements of text, graphics, photos, designs, trademarks, or other artwork furnished to BT WebMedia for inclusion in any technology services are owned by the Client, or that the Client has permission from the rightful owner to use each of these elements, and will hold harmless, protect, and defend BT WebMedia and its subcontractors from any claim or suit arising from the use of such elements furnished by the Client.

Completion Date
BT WebMedia and the Client must work together to complete the technology services in a timely manner. Much of this depends on receiving the appropriate content from the Client for business website projects. BT WebMedia agrees to work expeditiously to complete the technology services in a professional and timely fashion.

Cancellation
In the event that services are postponed or cancelled at the request of the Client by registered letter, BT WebMedia shall have the right to bill for work completed through the date of that request, while reserving all rights under this contract. If additional payment is due, this shall be payable within thirty days of the Client’s notification to stop work. After all additional payments and fees are paid the client will be given full rights to all work that is completed at the time of the cancellation request.

Nondisclosure
BT WebMedia and its subcontractors agree that, except as directed by the Client, it will not at any time during or after the term of this Agreement disclose any confidential information to any person whatsoever. Likewise, the Client agrees that it will not convey any confidential information obtained about BT WebMedia to another party.

Entire Understanding
This contract constitutes the sole agreement between BT WebMedia and the Client regarding its Technology Services. It becomes effective only when signed by both parties. This contract shall be governed and construed in accordance with the laws of the State of Virginia. The parties agree that if any part, term, or provision of this Agreement shall be found illegal or in conflict with any valid controlling law, the validity of the remaining provisions shall not be affected thereby. The undersigned agrees to the terms of this contract on behalf of his or her organization or business.
